CCDK End User License Agreement
(Last Updated: [May 15, 2015])
This End-User License Agreement (this "Agreement") is a legal agreement
between you and Shinra Technologies, Inc. ("Shinra") with respect
to your right to download and use the "CCDK Client-Side Software,"
"CCDK Server-Side Software" and "CCDK Documentation" provided
by Shinra (collectively, the "CCDK Software").
Please carefully read this Agreement before downloading and using
the CCDK Software. By downloading and/or using the CCDK Software,
you are indicating that you carefully read the terms and conditions
of this Agreement, understand them, and agree to be legally bound
by this Agreement. If you do not accept the terms and conditions
of this Agreement or do not have the power and authority to bind
the legal entity on behalf of which you are acting, you are not permitted
to download and/or use the CCDK Software.
By downloading and/or using the CCDK Software, you affirm that you are
of legal age to enter into this Agreement. If you are not of legal age
to enter into this Agreement, then you may not download and/or use
the CCDK Software.
Shinra reserves the right to change this Agreement, in whole or in part,
from time to time at its sole discretion, and to provide you with notice
of such change by any reasonable means, including, without limitation,
by making available the revised version of this Agreement through
the CCDK Software and/or via the GitHub website and/or any other public forum.
You can determine when this Agreement was last revised by referring
to the "Last Updated" legend at the top of this Agreement. Your continued
use of the CCDK Software following our making available any revised version
of this Agreement will mean that you accept that revised version
of this Agreement, provided that any material change to this Agreement
will not apply retroactively to any claim or dispute between you
and Shinra in connection with this Agreement that arose prior to
the "Last Updated" date applicable to that version of this Agreement
in which Shinra included such material change. If you do not agree
to any changes made to this Agreement, you may not access, download
and/or use the CCDK Software. Shinra may, at any time, modify or
discontinue all or part of the CCDK Software; charge, modify or waive
fees required to use the CCDK Software; or offer opportunities
to some or all CCDK Software end users.
1. GRANT OF LICENSE
The CCDK Software is licensed, not sold, to end users. Subject
to your compliance with all the terms and conditions of this Agreement,
unless and until this Agreement is terminated, Shinra grants you
a non-exclusive, non-transferable, non-sublicensable (except
as expressly permitted under this Agreement), revocable and limited right
and license to:
(a) modify the Modifiable CCDK Server-Side Software (as defined below)
in source code format and integrate and compile
the Modifiable CCDK Server-Side Software in source code format
as modified (if applicable) into the server-side component of your
own interactive entertainment game for the personal computer platform
(the "Licensed Game"), in each case solely for your internal purposes
and only to develop and publish the Licensed Game;
(b) integrate the Non-Modifiable CCDK Server-Side Software (as defined below)
in object code format into the server-side component of
the Licensed Game solely for your internal purposes;
(c) integrate the CCDK Client-Side Software in object code format into
the client-side component of the Licensed Game and distribute
the CCDK Client-Side Software in object code format only as integrated into
and as part of the client-side component of the Licensed Game,
in each case solely for your internal purposes; and
(d) make a reasonable number of copies of and use the CCDK Documentation
in connection with exercising the rights granted to you under this Agreement
and solely for your internal purposes.
As used in this Agreement: "Modifiable CCDK Server-Side Software" means
the component of the CCDK Server-Side Software provided to you
in source code format that you may modify and then integrate into and compile
with the server-side component of the Licensed Game in accordance
with the right and license granted to you above in Section 1(a);
and "Non-Modifiable CCDK Server-Side Software" means the component of
the CCDK Server-Side Software provided to you in object code format
that you may integrate into the server-side component of the Licensed Game
in accordance with the right and license granted to you above in Section 1(b).
2. ADDITIONAL SOFTWARE
This Agreement applies to updates, upgrades, patches, revisions, new versions,
supplements, add-on components, and Internet-based services components
of the CCDK Software that Shinra may (but has no obligation to) provide
or make available to you after the date you obtain your initial copy
of the CCDK Software, unless Shinra provides other terms along therewith.
3. RESTRICTIONS
Except as expressly permitted under this Agreement, you may not (and you agree
not to permit or otherwise allow another person to):
3.1 reverse engineer, decompile, disassemble or otherwise reduce
the CCDK Software (or any portion thereof) to a human-readable form or attempt
to reconstruct or discover any source code (other than the source code provided
by Shinra to you under this Agreement), underlying ideas, algorithms, file formats
or programming interfaces of the CCDK Software (or any portion thereof)
by any means whatsoever, except to the extent that this restriction
is expressly prohibited by applicable law and then only with prior written notice to Shinra;
3.2 rent, lease, timeshare, license, distribute, sublicense
or otherwise transfer the CCDK Software or any portion thereof;
3.3 modify, translate, make copies or derivative works of the CCDK Software
or any portion thereof, including its content (except as necessary to install
and use the CCDK Software in accordance with this Agreement);
3.4 incorporate the CCDK Software or any portion thereof, including its content, into any product or service;
3.5 use the CCDK Software or any portion thereof, including its content, for commercial purposes;
3.6 remove, alter or obscure any copyright, trademark, trade name
or other proprietary notices, legends, symbols or labels that appear in the CCDK Software;
3.7 use hacks, mods or any other unauthorized third-party software designed to modify the CCDK Software; and
3.8 exploit the CCDK Software or any of its parts for any commercial purpose.
4. PROPRIETARY RIGHTS
4.1 The CCDK Software incorporates and is protected by various intellectual
property rights, including, without limitation, copyrights, trademarks, patents,
trade secrets, moral rights and database rights and other intellectual property
and proprietary rights (collectively, "Intellectual Property Rights").
Shinra does not transfer title to the CCDK Software to you; this license shall
not be considered a "sale" of the CCDK Software.
You agree that the CCDK Software belongs to Shinra and its affiliates and licensors,
including, all Intellectual Property Rights therein, unless otherwise specified.
Shinra and its affiliates and licensors own and retain all right, title and interest
in and to the CCDK Software, including, without limitation, all software
and other materials comprising the CCDK Software, and all Intellectual Property Rights
relating to any of the foregoing. For the avoidance of doubt, any plugins,
installers, or software of any kind that you may be provided with or asked
to install or download in order to use or access the CCDK Software are deemed part
of the "CCDK Software."
4.2 You hereby agree that all right, title, and interest in and to any
and all derivative works and other modifications that are made by or on behalf
of you to the Modifiable CCDK Server-Side Software,
and all Intellectual Property Rights therein (collectively, any
and all such derivative works and other modifications along
with all Intellectual Property Rights therein shall be referred
to as the "Modifications"), shall vest in Shinra and shall be deemed
to be a work made for hire. To the extent that any right, title and interest
in and/or to any Modifications may not, by operation of law, vest in Shinra
or may not be considered works made for hire, you hereby irrevocably convey,
transfer, assign and deliver all right, title and interest therein to Shinra.
All Modifications belong exclusively to Shinra, with Shinra having the right
to obtain and to hold in its own name all trademarks, copyrights, patents,
registrations or such other protection as may be appropriate to the subject matter,
and any extensions and renewals thereof. To the extent that any Modifications are
not assignable as provided in this Section 4.2 or that you retain any right,
title or interest in and to any Modifications, you hereby unconditionally
and irrevocably waive the enforcement thereof and all claims and causes
of action of any kind against Shinra with respect thereto, and hereby grant
to Shinra a perpetual, irrevocable, fully paid-up, royalty-free,
fully-transferable, sublicensable (through multiple levels of sublicensees),
exclusive (even as to you), worldwide right and license, free from any liens
or encumbrances, to reproduce, distribute, display and perform (whether publicly
or otherwise), prepare derivative works of and otherwise modify, make, have made,
sell, offer to sell, import and otherwise use and exploit (and have others exercise
such rights on behalf of Shinra) all or any portion of such Modifications,
in any form or media (now known or later developed).
You agree to give Shinra and any person designated by Shinra any reasonable
assistance to perfect the rights defined in this Section 4.2.
You further waive any "moral" rights, or other rights with respect
to attribution of authorship or integrity relating to the Modifications
as you may have under any applicable law. You agree to submit to GitHub all
of the Modifications that you create by uploading them via a "pull request."
4.3 Shinra reserves all rights not expressly granted to you in this Agreement.
PLEASE NOTE THAT UNAUTHORIZED USE OF THE CCDK SOFTWARE MAY SUBJECT YOU
TO MONETARY DAMAGES AND OTHER CIVIL AND CRIMINAL PENALTIES, INCLUDING,
WITHOUT LIMITATION, FOR COPYRIGHT INFRINGEMENT.
5. TERMINATION
Without prejudice to any other rights or remedies of Shinra, Shinra
may immediately terminate this Agreement if you breach any of the terms
or conditions set forth herein. Shinra also may terminate this Agreement
for convenience by providing you with ten (10) days prior written notice
of such termination via the GitHub website and/or via any other public forum.
Upon the termination of this Agreement, you will immediately (a) cease using
the CCDK Software; and (b) completely remove (i.e., uninstall and delete)
the CCDK Software from your computer systems. Sections 3 (RESTRICTIONS),
4 (PROPRIETARY RIGHTS), 5 (TERMINATION), 6 (COMPLIANCE WITH LAWS),
7 DISCLAIMERS OF WARRANTY), 9 (INDEMNIFICATION), 10 (LIMITATIONS OF LIABILITY),
11 (APPLICABLE LAW; DISPUTE RESOLUTION), 12 (CLASS ACTION WAIVER),
14 (ATTRIBUTION), 14 (CONFIDENTIALITY), 16 (AUDIT RIGHTS), 17 (MISCELLANEOUS)
and 18 (THIRD PARTY CODE) shall survive any termination or expiration
of this Agreement. Additionally, unless this Agreement has been terminated
by Shinra due to your breach of this Agreement, your right and license
to use the CCDK Software in object code format set forth above
in Section 1 shall survive the termination of this Agreement,
subject to the terms of this Agreement.
6. COMPLIANCE WITH LAWS
You agree to comply strictly with all applicable laws, rules,
and regulations in respect of use of the CCDK Software, including
all export control or import laws and regulations of any relevant jurisdiction.
You agree to obtain licenses to export, re-export or import the CCDK Software
as may be required after delivery of CCDK Software to you, and agree not
to disclose or otherwise provide access to CCDK Software directly
or indirectly to any party with knowledge, or reason to know,
that such party will engage in activities disturbing international peace
and security, including activities relating to the design, development,
production, stockpiling or use of weapons of mass destruction such
as nuclear, biological or chemical weapons.
7. DISCLAIMERS OF WARRANTY
7.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHINRA
AND ITS AFFILIATES AND LICENSORS PROVIDE THE CCDK SOFTWARE "AS IS"
AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS,
EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO,
ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS
FOR A PARTICULAR PURPOSE, OF LACK OF VIRUSES, OF ACCURACY
OR COMPLETENESS OF RESPONSES, OF RESULTS, AND OF LACK OF NEGLIGENCE
OR LACK OF WORKMANLIKE EFFORT, ALL WITH REGARD TO THE CCDK SOFTWARE.
THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT,
QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION, OR NON-INFRINGEMENT,
WITH REGARD TO THE CCDK SOFTWARE. THE ENTIRE RISK AS TO THE QUALITY,
OR ARISING OUT OF USE OR PERFORMANCE, OF THE CCDK SOFTWARE, REMAINS WITH YOU.
7.2 WITHOUT LIMITING THE FOREGOING, SHINRA AND ITS AFFILIATES
AND LICENSORS MAKE NO REPRESENTATION OR WARRANTY (A) REGARDING ANY STATEMENTS,
ACTS OR OMISSIONS OF ANY THIRD PARTY, (B) THAT DEFECTS OR ERRORS WILL BE CORRECTED,
OR (C) THAT THE SERVERS OR NETWORKS THROUGH WHICH THE CCDK SOFTWARE
IS MADE AVAILABLE ARE SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
7.3 APPLICABLE LAW MAY NOT ALLOW FOR LIMITATIONS OF CERTAIN IMPLIED WARRANTIES;
SOLELY TO THE EXTENT THAT SUCH LAW APPLIES TO YOU, SOME OR ALL
OF THE ABOVE LIMITATIONS OR DISCLAIMERS MAY NOT APPLY TO YOU,
AND YOU MAY HAVE ADDITIONAL RIGHTS.
8. NO PROVISION OF SERVICES
Shinra has no obligation to furnish any maintenance, support
and/or other services with respect to the CCDK Software.
9. INDEMNIFICATION
You shall indemnify and hold harmless, and at Shinra's request defend,
Shinra and its affiliates, and its and their officers, directors, employees,
agents, licensors and service providers, from and against any and all claims,
losses, liabilities, damages, settlements, expenses and costs (including,
without limitation, attorneys' fees and court costs) which relate
to any third party claim arising out of your breach of any term
or condition of this Agreement and/or your use of the CCDK Software.
10. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
WILL SHINRA AND/OR ITS AFFILIATES, LICENSORS AND/OR SERVICE PROVIDERS
BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, EXEMPLARY
OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION,
DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION,
BUSINESS INTERRUPTION, PERSONAL INJURY, LOSS OF PRIVACY, FAILURE
TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, NEGLIGENCE,
AND ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR
IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE CCDK SOFTWARE,
THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION,
SOFTWARE, AND RELATED CONTENT THROUGH THE CCDK SOFTWARE, OR OTHERWISE
IN CONNECTION WITH ANY PROVISION OF THIS AGREEMENT, EVEN IN THE EVENT
OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH
OF CONTRACT OR BREACH OF WARRANTY OF SHINRA AND/OR ITS AFFILIATES, LICENSORS
AND/OR SERVICE PROVIDERS, AND EVEN IF SHINRA AND/OR ITS AFFILIATES, LICENSORS
AND/OR SERVICE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER
(INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT
OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF SHINRA AND/OR ITS AFFILIATES,
LICENSORS AND/OR SERVICE PROVIDERS ARISING OUT OF OR IN ANY WAY RELATED
TO ANY PROVISION OF THIS AGREEMENT, AND YOUR EXCLUSIVE REMEDY FOR ALL
OF THE FOREGOING, WILL BE LIMITED TO [ONE HUNDRED UNITED STATES DOLLARS (US$100)].
11. APPLICABLE LAW; DISPUTE RESOLUTION
This Agreement shall be governed by the internal laws of
the State of New York without giving effect to any choice of law rule
that would cause the application of the laws of any jurisdiction other
than the internal laws of the State of New York. The choice of law rules
of any jurisdiction, and the United Nations Convention on Contracts
for the International Sale of Goods, will not apply.
12. CLASS ACTION WAIVER
ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE ARISING OUT OF
AND/OR RELATING TO THE CCDK SOFTWARE IN ANY FORUM WILL BE CONDUCTED SOLELY
ON AN INDIVIDUAL BASIS. NEITHER YOU NOR SHINRA WILL SEEK TO HAVE ANY DISPUTE
HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER
PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.
NO ARBITRATION OR PROCEEDING WILL BE COMBINED WITH ANOTHER WITHOUT
THE PRIOR WRITTEN CONSENT OF ALL PARTIES TO ALL AFFECTED ARBITRATIONS
OR PROCEEDINGS.
13. INTENDED AUDIENCE
The CCDK Software is made available from the United States,
and the CCDK Software is not intended to subject Shinra to the laws
or jurisdiction of any state, country or territory other than those
of the United States. Shinra makes no, and hereby disclaims any,
representations or warranties that the CCDK Software, in whole or in part,
or any products, services, or materials made available through
the CCDK Software, are appropriate or available for use in other locations.
Those who choose to access the CCDK Software from other locations do so
on their own initiative and at their own risk and are responsible
for compliance with local laws, rules and regulations, if and
to the extent local laws, rules or regulations are applicable.
Shinra may limit the CCDK Software's availability, in whole or in part,
to any person(s), geographic area(s) or jurisdiction(s) it chooses,
at any time and in its sole discretion. You represent and warrant
that (a) you are not located in a country that is subject to a U.S.
Government embargo, or that has been designated by the U.S. Government
as a "terrorist supporting" country; and (b) you are not listed
on any U.S. Government list of prohibited or restricted parties.
14. ATTRIBUTION
Notwithstanding the foregoing, with respect to the Licensed Game,
Licensee shall include the following copyright and credit notice
on the credit screen or "about" box of the Licensed Game and
in the credit section of the Licensed Game manual:
"[Name of Licensee Game] uses the CCDK Software.
(c)Copyright 2015 Shinra Technologies, Inc. (and its licensors).
All Rights Reserved. See www.shinra.com for details.".
15. CONFIDENTIALITY
You agree that the CCDK Software, the terms and conditions
of this Agreement and non-public information of Shinra constitute
the confidential information of Shinra. You only may use
the confidential information of Shinra to perform your obligations
or to exercise your rights expressly set forth in this Agreement.
Except as expressly authorized herein, you will hold in confidence
and not use or disclose any confidential information of Shinra.
Your nondisclosure obligation shall not apply to information
which you can document: (a) was rightfully in your possession
or known to you prior to receipt of the confidential information
of Shinra; (b) is or has become public knowledge through no fault
of you; (c) is rightfully obtained by you from a third party
without breach of any confidentiality obligation; (d) is independently
developed by your employees who had no access to such information;
or (e) is required to be disclosed pursuant to a regulation,
law or court order (but only to the minimum extent required to comply
with such regulation or order and with advance written notice to Shinra).
You acknowledge that disclosure of confidential information
of Shinra would cause substantial harm for which damages alone would not
be a sufficient remedy. Therefore, upon any such disclosure
by you, Shinra shall be entitled to seek appropriate equitable relief

16. AUDIT RIGHTS
Upon Shinra's written request, you shall certify in a signed writing
that your use of the CCDK Software is in full compliance with
the terms of this Agreement. With prior reasonable notice
of five (5) business days, Shinra may audit the copies
of the CCDK Software in use by you provided such audit
is during regular business hours.
17. MISCELLANEOUS
This Agreement is the entire agreement between you and Shinra relating
to the CCDK Software and it supersedes all prior or contemporaneous oral
or written communications, proposals and representations with respect
to the subject matter covered by this Agreement. To the extent the terms
of any Shinra policies or programs conflict with the terms of this Agreement,
the terms of this Agreement will control. If any term or provision
in this Agreement is held to be illegal, voidable or unenforceable,
in whole or in part, under any enactment or rule of law, such term
or provision or part will be deemed not to form part of this Agreement,
but the validity and enforceability of the remainder of this Agreement
will not be affected. You may not assign, transfer or sublicense any
or all of your rights or obligations under this Agreement without Shinra's
express prior written consent. No waiver by either party of any breach
or default hereunder will be deemed to be a waiver of any preceding
or subsequent breach or default. Any heading, caption or section title
contained herein is inserted only as a matter of convenience.
Notices to you may be made by email, or by regular mail, at our discretion.
Additionally, we may provide notice that generally applies
to all end users of the CCDK Software via the GitHub website
and/or via any other public forum. Without limitation, you agree
that a printed version of this Agreement and of any notice given
in electronic form will be admissible in judicial or administrative
proceedings based upon or relating to this Agreement to the same extent
and subject to the same conditions as other business documents
and records originally generated and maintained in printed form.
