1.1 The Heimdall SDK Competition (the "Competition") is organized by Tide (the "Organizer").
1.2 By participating in the Competition, you agree to be bound by these Terms and Conditions ("Terms").
1.3 The Competition is open to all individuals or teams who have registered to participate in the Competition ("Participants").
1.4 The Competition has no official prize, but third parties may provide prizes at their own discretion.
2.1 The Organizer is not liable for any loss, damage, or injury caused by or to any Participant, including but not limited to loss or damage to any property, any injury, or death.
2.2 Participants acknowledge that they participate in the Competition at their own risk.
3.1 The Participants retain ownership of their intellectual property rights in their submissions to the Competition.
3.2 Participants grant the Organizer a non-exclusive, royalty-free, irrevocable license to use, reproduce, and display their submissions in connection with the Competition and for promotional and marketing purposes.
3.3 Participants are solely responsible for obtaining any necessary third-party permissions and licenses for any content included in their submissions.
4.1 Participants agree to indemnify and hold harmless the Organizer, its employees, officers, directors, agents, and representatives from any and all claims, damages, or liabilities arising out of or related to their participation in the Competition, including but not limited to any claims of infringement of intellectual property rights, breach of contract, or violation of any law or regulation.
5.1 Participants agree to allow the Organizer to publicly display, publish, and share their submissions for promotional and marketing purposes.
6.1 These Terms constitute the entire agreement between the Participants and the Organizer and supersede all prior agreements and understandings, whether written or oral, relating to the Competition.
6.2 These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Organizer is based.
6.3 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.
6.4 The Company may amend or modify these Terms and Conditions at any time, and any such amendment or modification shall be effective upon posting by the Company.
6.5 If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
